Welcome to HedgeCo.net, operated by HedgeCo Ventures LLC ("HedgeCo," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of HedgeCo.net and related services (the "Site"). By visiting or using the Site, you agree to these Terms. If you don't agree, do not use the Site.

1. Who We Are and What We Do

HedgeCo provides an online platform connecting accredited investors, fund managers, and service providers in the alternative-investment ecosystem.

Our services include:

• Profiles and listings of hedge funds, private-equity funds, venture and SPVs;
• Analytics, rankings, and AI-driven fund-matching tools;
• Educational and industry content, news, and research; and
• Account dashboards and communications features.

We are not a broker-dealer or investment adviser, and we do not provide personalized investment, legal, or tax advice.

2. Membership Tiers

• Investors – individuals or entities seeking information on alternative-investment opportunities.
• Fund Managers – representatives of hedge funds, private-equity or venture funds, SPVs, or managed accounts.
• Service Providers – firms offering services to the alternative-investment industry (administrators, legal, tech, etc.).

Certain features require registration and approval. Some tiers may require payment of listing or subscription fees.

3. Eligibility and Account Security

You must be at least 18 and able to form a binding contract.

You agree to:

• Provide accurate, current information;
• Keep your credentials confidential; and
• Promptly notify us of unauthorized use.

You're responsible for all activity on your account.

4. Your Use of the Site

You may use HedgeCo.net for lawful purposes only. You may not:

• Post or transmit unlawful, misleading, or infringing content;
• Interfere with Site security or functionality;
• Use bots or automated scrapers; or
• Reproduce or sell Site data or content without permission.

We may suspend or terminate accounts that violate these Terms.

5. User Content and License

Anything you post, upload, or transmit through HedgeCo ("User Content") remains yours, but you grant HedgeCo a worldwide, royalty-free license to use, display, and distribute it as needed to operate the Site.

You represent that you own or have rights to all User Content you submit and that it doesn't violate any law or third-party rights.

6. AI and Automated Features

HedgeCo may use AI and machine-learning tools to personalize fund recommendations, surface relevant news, or automate administrative processes.

AI-generated output is for informational use only and not investment advice. We do not guarantee accuracy or completeness.

7. Investment Disclaimers

• Nothing on this Site is an offer to buy or sell securities.
• All investments involve risk, including potential loss of principal.
• Verify all information independently and consult professional advisers.

By using restricted areas, you represent that you are an "accredited investor," "qualified purchaser," or "qualified client," as applicable, and agree to notify us if your status changes.

8. Conflicts and Compensation Disclosure

Some funds or service providers pay HedgeCo listing or promotional fees. These arrangements do not constitute endorsements, and HedgeCo performs no formal due diligence on listed parties.

9. Intellectual Property

All content on the Site (text, graphics, software, databases, logos, etc.) is owned or licensed by HedgeCo and protected by U.S. and international IP laws.

You may download or print materials for personal or internal business use only, retaining all copyright notices.

10. Privacy

Your use of the Site is also governed by our separate Privacy Policy, which explains how we collect and handle personal information.

11. Third-Party Links and Content

The Site may link to or display content from third parties. HedgeCo isn't responsible for the availability, accuracy, or legality of external sites or resources. Use them at your own risk.

12. Termination

We may suspend or terminate access at any time for violation of these Terms or for any reason in our discretion. Upon termination, your license to use the Site ends immediately.

The Site and all content are provided "as is" and "as available." HedgeCo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free service or that the Site is free of viruses or other harmful components.

14. Limitation of Liability

To the maximum extent permitted by law, HedgeCo Ventures LLC and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from or related to your use of the Site.

If you pay subscription fees, our total liability to you will not exceed the greater of (a) the fees paid in the preceding 12 months or (b) $100.

You agree to indemnify and hold harmless HedgeCo, its affiliates, officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Site, your User Content, or your breach of these Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

All disputes shall be brought in the state or federal courts of Palm Beach County, Florida, and you consent to their jurisdiction.

Any claim must be filed within one (1) year of arising or it is permanently barred.

By using the Site, you consent to receive notices electronically via email or the Site interface. Notices are effective upon sending or posting.

19. Severability and Entire Agreement

If any provision is held invalid, the remaining Terms remain in full force. These Terms and the Privacy Policy constitute the entire agreement between you and HedgeCo regarding the Site.
